INTRODUCTION

This Terms of Service Agreement (“Agreement”) is a legally binding contract between Connect One (Pty) Ltd (“Connect One” or “we” or “us”) and you (“you” or “your” or “Customer”) that governs your use of the services provided by Connect One. By using our services, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement.

DEFINITIONS

For the purposes of this Agreement, the following definitions apply:

• “Services” means the industrial services, waste removal services, building plans and submissions services, industrial IoT services, connectivity solutions services, mining equipment services, and mechanical engineering consulting services provided by Connect One.
• “Customer” means the person or entity that uses the Services.
• “Equipment” means any equipment, machinery, or devices provided by Connect One as part of the Services.
• “Intellectual Property” means any patents, trademarks, copyrights, trade secrets, and other intellectual property rights owned or licensed by Connect One.

SERVICES

Connect One offers the following Services:

1. Industrial Services: Connect One provides industrial services, including waste removal, to customers in the industrial sector.
2. Waste Removal: Connect One provides waste removal services to customers in the industrial sector.
3. Building Plans and Submissions: Connect One provides building plans and submissions services to customers in the construction and development sector.
4. Industrial IoT: Connect One provides industrial IoT services, including connectivity solutions, to customers in the industrial sector.
5. Connectivity Solutions: Connect One provides connectivity solutions services to customers in the industrial sector.
6. Mining Equipment: Connect One provides mining equipment services to customers in the mining sector.
7. Mechanical Engineering Consulting: Connect One provides mechanical engineering consulting services to customers in the industrial sector.

USE OF SERVICES

You agree to use the Services only for lawful purposes and in accordance with this Agreement. You shall not:

1. Use the Services for any purpose that is prohibited by law or by this Agreement.
2. Interfere with or disrupt the Services or any equipment or networks used to provide the Services.
3. Use the Services to transmit or store any material that is obscene, defamatory, or infringing on the rights of others.
4. Use the Services to harass or threaten any person or entity.

EQUIPMENT

If Connect One provides Equipment as part of the Services, you agree to:

1. Use the Equipment only for the purpose intended and in accordance with the manufacturer’s instructions.
2. Return the Equipment to Connect One at the end of the service period or upon request.
3. Pay for any damage or loss to the Equipment, except for normal wear and tear.

INTELLECTUAL PROPERTY

You acknowledge that all Intellectual Property rights in the Services and Equipment are owned by Connect One or its licensors. You shall not:

1. Copy, modify, or distribute any Intellectual Property without the prior written consent of Connect One.
2. Use any Intellectual Property for any purpose other than as authorized by this Agreement.

FEES AND PAYMENT

You agree to pay the fees and charges for the Services as specified by Connect One. Payment terms are as follows:

1. Payment is due within 30 days of the date of the invoice.
2. Late payments shall bear interest at a rate of 2% per month or the maximum rate allowed by law.
3. Connect One reserves the right to suspend or terminate the Services if payment is not made on time.

WARRANTIES AND DISCLAIMERS

Connect One warrants that the Services will be provided with reasonable care and skill. However, Connect One disclaims all other warranties, express or implied, including but not limited to:

1. Any warranty of merchantability or fitness for a particular purpose.
2. Any warranty that the Services will be uninterrupted or error-free.

LIMITATION OF LIABILITY

In no event shall Connect One be liable for any damages, including but not limited to:

1. Any indirect, special, or consequential damages.
2. Any damages arising from the use or inability to use the Services.
3. Any damages arising from the Equipment or any other property of Connect One.

INDEMNIFICATION

You agree to indemnify and hold harmless Connect One, its officers, directors, employees, and agents from and against any claims, damages, or expenses arising from:

1. Your use of the Services.
2. Your breach of this Agreement.
3. Any damage or loss to the Equipment or any other property of Connect One.

TERMINATION

Either party may terminate this Agreement upon written notice to the other party. Upon termination, you shall:

1. Immediately cease using the Services.
2. Return any Equipment to Connect One.
3. Pay all outstanding fees and charges.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from this Agreement shall be resolved through arbitration in accordance with the rules of the Arbitration Foundation of Southern Africa.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements or understandings.

AMENDMENTS

Connect One reserves the right to amend this Agreement from time to time. You will be notified of any changes to this Agreement by posting an updated version on our website.

ACKNOWLEDGMENT

By using our Services, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement.
